These Terms of Service (“Terms”) govern access to and use of the Sileasy website, the Sileasy Brands Shopify application, and any related software, features, documentation, support, or services provided by SILEASY LLC (“Sileasy,” “we,” “our,” or “us”).

These Terms form a legally binding agreement between SILEASY LLC and the person or business that installs, accesses, or uses the Services (“Merchant,” “you,” or “your”).

By installing Sileasy Brands, selecting a pricing plan, accessing the Services, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not install or use the Services.

ELIGIBILITY AND AUTHORITY

The Services are intended for business and commercial use by Shopify merchants.

You represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into these Terms.
If you are acting on behalf of a company or other organization, you have authority to bind that organization.
Your use of the Services complies with all laws, regulations, contracts, and Shopify requirements applicable to your business.

The person accepting these Terms on behalf of a business is responsible for ensuring that authorized users of that business comply with these Terms.

DESCRIPTION OF SILEASY BRANDS

Sileasy Brands is a Shopify application designed to help merchants create and manage a searchable, responsive brand directory from product vendor information already present in their Shopify store.

Depending on the selected plan and the configuration chosen by the Merchant, the Services may allow the Merchant to:

Detect and synchronize Shopify product vendors.
Select which brands appear in a storefront directory.
Organize a Free-plan publication selection.
Customize brand display names.
Add brand logos and storefront destinations.
Search and navigate brands through A–Z controls.
Choose between logo and text-only presentation.
Select available directory layouts and design settings.
Mark brands as featured when permitted by the selected plan.
Preview directory presentation.
Publish the directory through a Shopify Theme App Extension and theme app block.

Sileasy Brands is designed to read product vendor information without changing the original vendor values stored in Shopify products.

The Merchant remains responsible for the accuracy, quality, legality, and organization of product vendor information and other content in the Merchant’s store.

RELATIONSHIP WITH SHOPIFY

Sileasy Brands operates through the Shopify platform and requires an eligible Shopify store.

Shopify Inc. is an independent third party and is not a party to these Terms.

Shopify may control or provide:

Installation and authentication.
App permissions.
App plan selection.
Subscription approval.
Billing and invoicing.
Plan changes and cancellation status.
Shopify Admin and Online Store functionality.
Theme Editor access.
APIs, App Proxy infrastructure, and platform availability.

Your use of Shopify is governed by your separate agreement with Shopify.

Sileasy is not responsible for Shopify outages, policy changes, billing decisions, API changes, theme changes, account suspensions, or other matters controlled by Shopify.

Shopify is a trademark of Shopify Inc. Sileasy is not affiliated with, sponsored by, or endorsed by Shopify Inc.

ACCESS AND LICENSE

Subject to your compliance with these Terms and the applicable pricing plan, Sileasy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the internal commercial operation of your Shopify store.

This license does not give you ownership of the Services or any underlying software.

You may not:

Copy, resell, sublicense, rent, or distribute the Services.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except where such restriction is prohibited by law.
Circumvent plan limits, access controls, authentication, or billing mechanisms.
Access or use the Services to build a competing product through unauthorized extraction or replication.
Interfere with the security, performance, or operation of the Services.
Use automated systems to abuse, overload, scrape, or disrupt the Services.

PRICING PLANS

Sileasy Brands may offer Free, Premium, private, testing, promotional, or other plans through Shopify App Pricing.

The plans currently offered publicly may include:

FREE PLAN

The Free plan may include:

Publication of up to 10 selected brands.
Classic Grid as the effective storefront layout.
Search and A–Z navigation.
Brand logos or text-only presentation.
Responsive storefront directory output.

Brands and configurations that exceed Free-plan capabilities may remain stored but inactive while the store is on the Free plan.

PREMIUM PLAN

The Premium plan may include:

Publication of additional or unlimited brands, subject to reasonable technical limits.
All available directory layouts and design presets.
Featured brands.
Featured Showcase.
Advanced density and logo-size controls.
Full desktop and mobile preview capabilities.
Other Premium functionality displayed in the application or Shopify App Pricing page.

The current price, billing interval, trial duration, features, and limitations of each plan are displayed in Shopify Admin, the Shopify App Store listing, or the official Shopify plan approval screen.

If information in these Terms conflicts with the price or billing information displayed by Shopify at the time you approve a plan, the information displayed in the Shopify approval screen controls the applicable charge.

SUBSCRIPTION CHARGES AND BILLING

All subscription charges for public plans are presented, approved, processed, and invoiced through Shopify App Pricing.

Sileasy does not independently collect or store your payment card information for Shopify app subscriptions.

Paid plans may be offered on a monthly, annual, or other recurring basis displayed by Shopify.

By approving a paid plan, you authorize Shopify to add the applicable subscription charge, taxes, and adjustments to your Shopify bill according to Shopify’s billing procedures.

Recurring plans automatically renew unless they are changed or canceled through Shopify before the applicable renewal date.

You are responsible for:

Reviewing the price and billing interval before approving a plan.
Maintaining an active Shopify account and valid payment method.
Reviewing your Shopify invoices.
Managing your subscription through the available Shopify billing and plan-management interfaces.

Sileasy is not responsible for failed payments, frozen Shopify stores, currency conversion, taxes calculated by Shopify, or delays in Shopify billing records.

FREE TRIALS

Where offered, a Premium plan may include a free trial for the duration displayed in Shopify Admin or the plan approval screen.

The current Premium plan may include a seven-day free trial.

Trial eligibility, availability, duration, and prior use are determined through Shopify’s billing records and the applicable plan configuration.

Unless you cancel, downgrade, or change the plan before the end of the trial, the paid subscription may begin automatically when the trial expires.

The amount, billing period, and effective date shown on the Shopify approval screen control.

Sileasy does not guarantee that every Merchant or store will be eligible for a trial.

UPGRADES, DOWNGRADES, AND PLAN CHANGES

You may change plans through the official Shopify App Pricing interface when that option is available.

A plan change may:

Take effect immediately.
Take effect at the beginning of a future billing cycle.
Produce a prorated charge or adjustment.
Remain pending until the current billing period ends.

The effective subscription status shown by Shopify controls which plan is active.

A requested plan change does not become effective within Sileasy Brands until the active subscription is verified through Shopify.

When a store moves from Premium to Free:

Premium-only features may become inactive.
The effective storefront directory may be limited to the Merchant’s selected Free publication set.
Premium layouts, Featured settings, and advanced design settings may be inactive.
Sileasy may preserve Premium configuration so that it can be restored if the store later returns to Premium.

A downgrade does not automatically require deletion of brand records, logos, destinations, rankings, or saved Premium settings.

When a store returns to Premium, previously stored Premium-compatible settings may become effective again.

CANCELLATION, UNINSTALLATION, AND REINSTALLATION

You may manage or cancel your plan through Shopify’s billing and app-management interfaces.

Uninstalling Sileasy Brands ends access to the application and may cause Shopify to cancel or schedule cancellation of the associated subscription according to Shopify’s billing rules.

The billing status displayed by Shopify controls the effective cancellation date and any remaining access period.

Uninstalling the application does not necessarily result in the immediate deletion of all store configuration.

After uninstall:

Active app sessions may be terminated.
Operational billing or entitlement snapshots may be invalidated or removed.
Limited merchant configuration may be retained temporarily to support reinstall, security, dispute resolution, legal obligations, and Shopify privacy requirements.
Store data is deleted, anonymized, or retained according to our Privacy Policy, applicable law, and verified Shopify privacy requests.

A reinstalled store may be required to select a plan again through Shopify App Pricing.

REFUNDS AND BILLING DISPUTES

Subscription charges are processed through Shopify.

Any refund, credit, adjustment, proration, or billing dispute is subject to:

Applicable law.
Shopify’s billing systems and procedures.
The information displayed when the Merchant approved or changed the plan.
Any separate written commitment made by Sileasy.

Sileasy does not guarantee refunds for unused time, partial billing periods, forgotten cancellations, or failure to use the Services.

MERCHANT CONTENT

“Merchant Content” includes brand names, display names, logos, images, links, destinations, vendor information, storefront headings, and other content submitted, selected, or configured by the Merchant.

You retain ownership of your Merchant Content.

You grant Sileasy a limited, worldwide, non-exclusive license to host, process, reproduce, resize, transmit, and display Merchant Content only as reasonably necessary to provide, secure, maintain, and support the Services.

You represent and warrant that:

You have the necessary rights and permissions to use each brand name, trademark, logo, image, link, and other item of Merchant Content.
Your Merchant Content does not infringe intellectual property, privacy, publicity, consumer protection, or other rights.
Your Merchant Content is not unlawful, deceptive, defamatory, harmful, or malicious.
Your destinations and links are accurate, secure, and appropriate for your storefront.

Sileasy does not verify ownership of every brand, trademark, logo, or destination submitted by a Merchant.

We may remove or disable Merchant Content when we reasonably believe it violates these Terms, applicable law, Shopify policy, or third-party rights.

MERCHANT RESPONSIBILITIES

You are responsible for:

Your Shopify store, products, vendors, themes, pages, and sales channels.
Verifying the storefront output before publishing it.
Selecting the correct brands for publication.
Maintaining appropriate rights to brand content.
Testing links and destinations.
Configuring and saving the Theme App Block.
Keeping your theme and Shopify store compatible with current Shopify requirements.
Maintaining backups or source copies of important logos and content.
Complying with trademark, advertising, accessibility, privacy, consumer protection, and ecommerce laws applicable to your store.

Sileasy Brands does not provide legal clearance for your use of third-party brand names, trademarks, logos, or images.

ACCEPTABLE USE

You must not use the Services to:

Violate any law, regulation, court order, or Shopify policy.
Infringe or misappropriate intellectual property rights.
Upload malware, malicious scripts, deceptive redirects, or harmful content.
Impersonate another person, company, brand, or merchant.
Attempt to access another merchant’s data.
Bypass authentication, subscription, Free-plan limits, or Premium restrictions.
Manipulate requests to enable unavailable features.
Probe, scan, or test the security of the Services without prior written authorization.
Cause unreasonable load, interference, denial of service, or disruption.
Use the Services for illegal, fraudulent, abusive, or deceptive activity.

We may investigate suspected violations and cooperate with Shopify or lawful authorities where required.

INTELLECTUAL PROPERTY

The Services, including their source code, interfaces, workflows, visual elements, documentation, design, trademarks, and underlying technology, are owned by SILEASY LLC or its licensors.

Except for the limited license granted in these Terms, no rights are transferred to you.

“Sileasy,” “Sileasy Brands,” and related branding are marks or identifiers of SILEASY LLC.

You may not use Sileasy branding in a manner that falsely suggests sponsorship, partnership, certification, or endorsement.

FEEDBACK

If you voluntarily submit ideas, suggestions, or feedback, you grant Sileasy a perpetual, worldwide, non-exclusive, royalty-free right to use that feedback to improve or develop our products and services.

This does not give Sileasy ownership of your store data or Merchant Content.

PRIVACY AND DATA PROCESSING

Our collection, use, storage, disclosure, and deletion of information are described in the Sileasy Privacy Policy, which forms part of these Terms.

Depending on how you use the Services, Sileasy may process information such as:

Shopify store domain and store identifiers.
Application identifiers.
Product vendor values.
Brand names and display settings.
Brand logos and destinations.
Directory design settings.
Synchronization status.
Subscription and plan status.
Authentication and session records managed through the Shopify application framework.
Technical logs and security metadata.

Sileasy Brands is not designed to access customer orders, customer accounts, or protected customer data unless explicitly disclosed through updated Shopify permissions and an updated Privacy Policy.

You must not submit customer personal information, payment information, health information, government identification numbers, or other sensitive information through brand names, URLs, logos, support requests, or configuration fields unless expressly requested and legally permitted.

SECURITY

We use reasonable administrative, technical, and organizational measures designed to protect the Services and information processed through them.

However, no internet-based service, cloud service, database, or transmission method is completely secure.

You are responsible for maintaining the security of:

Your Shopify account.
Staff permissions.
Email accounts.
Devices.
Theme access.
Any credentials or links under your control.

You must promptly notify us of a suspected security issue at:

You must not perform destructive testing, access another store’s data, exploit vulnerabilities, or publicly disclose a vulnerability before giving us a reasonable opportunity to investigate and respond.

THIRD-PARTY SERVICES AND THEMES

The Services depend on third-party systems, which may include Shopify, hosting providers, database providers, domain providers, email providers, monitoring services, and other infrastructure vendors.

Third-party services are governed by their own terms and privacy policies.

Sileasy does not guarantee compatibility with:

Every Shopify theme.
Heavily customized themes.
Unsupported or outdated themes.
Third-party scripts or applications.
Custom code that conflicts with the Theme App Extension.

Sileasy Brands is intended for compatible Shopify Online Store 2.0 themes.

You should test the app block and storefront directory before publishing theme changes.

SERVICE AVAILABILITY AND CHANGES

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.

The Services may be unavailable because of:

Maintenance.
Security updates.
Shopify downtime.
Third-party provider outages.
API changes.
Network failures.
Billing or account issues.
Events outside our reasonable control.

We may modify, improve, replace, add, or discontinue features.

When reasonably practicable, we will provide notice before making a material reduction to paid functionality.

We may make immediate changes without prior notice when required for security, legal compliance, platform compatibility, fraud prevention, or service stability.

SUPPORT

Support is available through:

support@sileasy.com

Support may include assistance with:

Installation.
Vendor synchronization.
Brand configuration.
Design settings.
Theme App Block setup.
Billing navigation.
Bug reporting.
Privacy or security escalation.

Support does not include legal advice, trademark clearance, custom theme development, data-entry services, or guaranteed compatibility with third-party code unless separately agreed in writing.

Any support response times displayed on our website are targets, not guaranteed service-level commitments, unless a separate written agreement states otherwise.

SUSPENSION

We may suspend access to all or part of the Services when reasonably necessary to:

Protect the Services, Shopify merchants, or third parties.
Investigate suspected fraud, abuse, or security incidents.
Respond to a legal order or Shopify instruction.
Prevent unauthorized access.
Address unpaid or inactive subscription status reported by Shopify.
Enforce these Terms.

Where reasonably possible, we will notify you and provide an opportunity to correct the issue.

Immediate suspension may occur when delay could cause harm, security risk, legal exposure, or service disruption.

TERMINATION

You may terminate these Terms by uninstalling Sileasy Brands and ceasing use of the Services.

We may terminate or discontinue the Services if:

You materially violate these Terms.
You repeatedly abuse or disrupt the Services.
Continued service becomes unlawful.
Shopify requires termination.
We discontinue the product.

Upon termination:

Your license to use the Services ends.
Access to the embedded application may end.
The Theme App Extension may stop receiving directory data.
Data will be handled according to the Privacy Policy, legal requirements, Shopify privacy requirements, and applicable retention periods.

Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SILEASY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

MERCHANTABILITY.
FITNESS FOR A PARTICULAR PURPOSE.
TITLE.
NON-INFRINGEMENT.
ACCURACY.
AVAILABILITY.
COMPATIBILITY.
ERROR-FREE OPERATION.

We do not warrant that:

The Services will always be available.
Every theme will be compatible.
Every vendor name will produce a valid brand.
Merchant Content is legally authorized.
Search engines will index the directory.
Use of the Services will increase traffic, sales, conversion, or revenue.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILEASY LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY:

INDIRECT DAMAGES.
INCIDENTAL DAMAGES.
SPECIAL DAMAGES.
CONSEQUENTIAL DAMAGES.
EXEMPLARY OR PUNITIVE DAMAGES.
LOST PROFITS.
LOST REVENUE.
LOST SALES.
LOST DATA.
BUSINESS INTERRUPTION.
LOSS OF GOODWILL.
COST OF SUBSTITUTE SERVICES.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if Sileasy was advised that the damage was possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILEASY’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

THE TOTAL AMOUNT YOU PAID TO SILEASY BRANDS THROUGH SHOPIFY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
USD 100.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-waivable obligations where applicable.

INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SILEASY LLC and its owners, officers, employees, contractors, affiliates, and licensors from third-party claims, damages, liabilities, judgments, penalties, losses, and reasonable legal expenses arising from:

Your Merchant Content.
Your use of third-party names, trademarks, logos, images, links, or destinations.
Your Shopify store, products, or storefront.
Your violation of these Terms.
Your violation of law or Shopify policy.
Your infringement of third-party rights.

Sileasy will provide reasonable notice of an indemnified claim and may participate in the defense.

You may not settle a claim in a manner that admits liability by Sileasy or imposes obligations on Sileasy without our written consent.

GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, United States.

Each party consents to the jurisdiction of those courts.

This section does not limit any mandatory rights or legal protections that cannot be waived under applicable law.

CHANGES TO THESE TERMS

We may update these Terms from time to time.

The updated version will be posted on this page with a revised “Last Updated” date.

For material changes, we may also provide notice through:

The application.
Email.
Our website.
Shopify Admin communications.

Unless a shorter period is required for legal, security, or platform reasons, material changes will normally become effective after reasonable notice.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.

ELECTRONIC COMMUNICATIONS

You agree to receive operational communications electronically, including communications relating to:

Installation.
Service status.
Billing navigation.
Plan changes.
Security.
Privacy.
Support.
Material changes to these Terms.

You are responsible for keeping the email address associated with your Shopify account and communications with Sileasy accurate and monitored.

ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent.

Sileasy may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the Services, provided that the assignee assumes the applicable obligations.

SEVERABILITY AND WAIVER

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

A failure to enforce a provision is not a waiver of the right to enforce it later.

Any waiver must be in writing and signed by an authorized representative of SILEASY LLC.

FORCE MAJEURE

Sileasy will not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, internet or utility failures, cyberattacks, government action, Shopify outages, hosting outages, or failures of third-party infrastructure.

ENTIRE AGREEMENT

These Terms, the Privacy Policy, the applicable Shopify plan approval screen, and any additional written agreement expressly accepted by both parties constitute the entire agreement concerning the Services.

If there is a conflict:

Shopify’s approval screen controls the price, billing interval, trial, taxes, and charge approved through Shopify.
These Terms control your use of Sileasy Brands.
The Privacy Policy controls our handling of personal information.
