Terms of Service

These Terms govern the Sileasy website, Sileasy Brands, Sileasy Stock Flow, and any current or future Sileasy application that links to these Terms. Effective DateJuly 30, 2026 Last UpdatedAugust 21, 2026

These Terms of Service (“Terms”) govern access to and use of the website located at sileasy.com, the Sileasy Shopify applications, and any related software, features, documentation, support, or services provided by SILEASY LLC (“Sileasy,” “we,” “our,” or “us”). The website, applications, and related services are collectively referred to as the “Services.”

These Terms form a legally binding agreement between SILEASY LLC and the person or business that installs, accesses, or uses the Services (“Merchant,” “you,” or “your”).

By installing a Sileasy App, selecting or approving a pricing plan, accessing the Services, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not install, access, or use the Services. 01

1. Eligibility and Authority

The Services are intended primarily for business and commercial use by merchants.

You represent and warrant that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into these Terms.
  • If you act for a company or other organization, you have authority to bind that organization.
  • Your use of the Services complies with applicable laws, regulations, contracts, and Shopify requirements.

The person accepting these Terms on behalf of a business is responsible for ensuring that the business and its authorized users comply with these Terms.

2. Scope of the Services

Sileasy may provide a public website, Shopify applications, embedded application interfaces, storefront components, documentation, technical support, automation, and related tools. Features may differ by application, store, plan, configuration, Shopify eligibility, or technical availability.

References to a “Sileasy App” mean any Shopify application offered by SILEASY LLC that links to these Terms. References to the “applicable Sileasy App” mean the specific application that you install or use.

Information published on the Sileasy website is provided for general product, operational, and support purposes. It does not constitute legal, tax, accounting, financial, or other professional advice.

3. Current Sileasy Apps and App-Specific Terms

The following terms describe the current Sileasy Apps. They supplement the general provisions in these Terms. Additional functionality may be described in the applicable Shopify App Store listing, Shopify Admin, application interface, documentation, or plan approval screen.

CURRENT APP

3.1 Sileasy Brands

Sileasy Brands is a Shopify application designed to help Merchants create and manage a searchable, responsive brand directory using product vendor information already present in the Merchant’s Shopify store.

Depending on the selected plan and Merchant configuration, Sileasy Brands may allow the Merchant to:

  • Detect and synchronize Shopify product vendor values.
  • Select which brands appear in a storefront directory.
  • Maintain a plan-specific publication selection.
  • Customize brand display names.
  • Add brand logos and storefront destinations.
  • Search and navigate brands through search and A–Z controls.
  • Choose between logo and text-only presentation.
  • Select available directory layouts and design settings.
  • Mark brands as featured when permitted by the selected plan.
  • Preview and publish a directory through supported Shopify storefront components, which may include a Theme App Extension, theme app block, or App Proxy.

Sileasy Brands is designed to read product vendor information without changing the original vendor values stored in Shopify products. The Merchant remains responsible for the accuracy, quality, legality, consistency, and organization of vendor information and all brand-related content used in the Merchant’s store.

The Merchant is solely responsible for obtaining and maintaining the rights required to use third-party brand names, trademarks, logos, images, links, and destinations. Sileasy does not provide trademark clearance or verify ownership of every brand asset submitted by a Merchant.

CURRENT APP

3.2 Sileasy Stock Flow

Sileasy Stock Flow is a Shopify application designed to help Merchants evaluate inventory and manage product ordering, publication status, storefront search visibility, and related automation according to settings selected by the Merchant.

Depending on the selected plan, store eligibility, and Merchant configuration, Sileasy Stock Flow may allow the Merchant to:

  • Evaluate product and variant inventory using the Merchant’s selected inventory settings.
  • Preview and perform one-time collection sorting.
  • Configure automatic collection sorting.
  • Place available products before out-of-stock products.
  • Move out-of-stock products toward the end of selected collections.
  • Hide eligible out-of-stock products from a selected Shopify publication.
  • Manage storefront search visibility for eligible products.
  • Restore app-managed publication or search states when restoration conditions are satisfied.
  • Use ownership, comparison, and concurrency safeguards intended to reduce accidental overwriting of Merchant or third-party changes.
  • Review jobs, webhooks, inventory activity, publication actions, and other operational activity made available by the application.

The Merchant controls the settings, collections, publications, inventory rules, and automation selected for use. The Merchant is responsible for reviewing previews where available, monitoring results, and confirming that the application’s output remains appropriate for the Merchant’s store.

Automation and restoration safeguards reduce certain operational risks but do not guarantee that every state can be restored in every circumstance. Restoration or ordering may be affected by Shopify availability, API behavior, inventory changes, theme or sales-channel behavior, concurrent Merchant actions, third-party applications, deleted resources, permission changes, or other events outside Sileasy’s control.

Sileasy Stock Flow does not guarantee increased traffic, sales, conversion, revenue, search ranking, inventory accuracy, or uninterrupted automation. Activity information is provided for operational visibility and is not a substitute for the Merchant’s own records, monitoring, or business controls.

FUTURE APPS

3.3 Additional Sileasy Apps

Sileasy may introduce additional applications that link to these Terms. An additional app may include app-specific features, limitations, pricing, permissions, documentation, or supplemental terms displayed in its Shopify App Store listing, Shopify Admin, approval screen, or application interface.

If app-specific terms expressly conflict with these Terms, the app-specific terms control only for the affected application and only to the extent of the conflict. These Terms continue to govern all other aspects of the Services unless a separate written agreement states otherwise.

4. Relationship with Shopify

The Sileasy Apps operate through the Shopify platform and require an eligible Shopify store.

Shopify Inc. is an independent third party and is not a party to these Terms.

Shopify may control or provide:

  • App installation, authentication, and authorization.
  • App permissions and access scopes.
  • Plan selection, subscription approval, billing, invoicing, taxes, and cancellation status.
  • Shopify Admin, Online Store, Theme Editor, sales channels, and publication functionality.
  • APIs, webhooks, App Proxy infrastructure, Theme App Extensions, and platform availability.

Your use of Shopify is governed by your separate agreement with Shopify.

Sileasy is not responsible for Shopify outages, policy changes, billing decisions, API changes, permission changes, theme changes, account suspensions, or other matters controlled by Shopify.

Shopify is a trademark of Shopify Inc. Sileasy is not affiliated with, sponsored by, or endorsed by Shopify Inc.

5. Access and License

Subject to your compliance with these Terms and the applicable pricing plan, Sileasy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for the internal commercial operation of your business and Shopify store.

This license does not give you ownership of the Services or any underlying software.

You may not:

  • Copy, resell, sublicense, rent, distribute, or commercially exploit the Services except as expressly permitted.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, except where such restriction is prohibited by law.
  • Circumvent plan limits, entitlements, access controls, authentication, or billing mechanisms.
  • Use unauthorized extraction or replication to build a competing product or service.
  • Interfere with the security, performance, availability, or operation of the Services.
  • Use automated systems to abuse, overload, scrape, probe, or disrupt the Services.

6. Pricing Plans

Pricing plans are application-specific. A plan offered for one Sileasy App does not provide access to another Sileasy App unless Sileasy expressly states otherwise.

The current price, billing interval, trial, features, product or usage limits, eligibility, and other plan details are displayed in the applicable Shopify App Store listing, Shopify Admin, Sileasy App, or Shopify plan approval screen.

6.1 Sileasy Brands Plans

Free

Entry-level brand directory functionality.

  • Publication of up to 10 selected brands.
  • Classic Grid as the effective storefront layout.
  • Search and A–Z navigation.
  • Brand logos or text-only presentation.
  • Responsive storefront directory output.

Premium

Expanded publication and design capabilities.

  • Additional or unlimited brand publication, subject to reasonable technical limits and the current listing.
  • Available directory layouts and design presets.
  • Featured brands and Featured Showcase.
  • Advanced density and logo-size controls.
  • Desktop and mobile preview capabilities.
  • Other Premium functionality displayed in the app or Shopify pricing interface.

Brand records, logos, destinations, rankings, or Premium-compatible configuration that exceed the active plan may remain stored but inactive while the store uses a more limited plan.

6.2 Sileasy Stock Flow Plans

Stock Flow plan limits apply to the applicable store and subscription. Access to plan-controlled functionality depends on a verified active Shopify subscription and the catalog or usage limits associated with that subscription.

Shopify approval screen controls. If information in these Terms conflicts with the price, currency, billing interval, trial, taxes, or charge displayed by Shopify when you approve or change a plan, the information displayed by Shopify controls the applicable charge and subscription terms. App-specific feature and catalog limits are governed by the applicable listing, in-app disclosures, and verified active plan.

7. Subscription Charges and Billing

All subscription charges for public Sileasy App plans are presented, approved, processed, and invoiced through Shopify App Pricing and Shopify’s billing systems. Sileasy does not use external billing to collect public Shopify app subscription charges.

Sileasy does not independently collect or store your payment card information for Shopify app subscriptions.

By approving a paid plan, you authorize Shopify to add the applicable subscription charge, taxes, currency conversions, and adjustments to your Shopify bill according to Shopify’s billing procedures.

Recurring plans automatically renew according to the billing interval displayed by Shopify unless they are changed or canceled before the applicable renewal or effective-change date.

You are responsible for:

  • Reviewing the price, billing interval, trial, and plan limits before approving a plan.
  • Maintaining an active Shopify account and valid payment method.
  • Reviewing your Shopify invoices and subscription status.
  • Managing your plan through the Shopify billing and plan-management interfaces made available to you.

Sileasy is not responsible for failed payments, frozen Shopify stores, currency conversion, taxes calculated or collected by Shopify, invoice timing, or delays in Shopify billing records.

8. Free Trials

Where offered, a paid plan may include a free trial for the duration displayed in Shopify Admin or the Shopify plan approval screen.

Sileasy Stock Flow Starter, Growth, and Scale plans currently include a seven-day free trial, subject to Shopify eligibility and the approval screen presented to the Merchant.

Any Sileasy Brands Premium trial, promotional trial, or future app trial is available only when shown in the applicable Shopify pricing interface.

Trial eligibility, availability, duration, prior use, conversion to paid status, and effective billing date are determined through Shopify’s billing records and the applicable plan configuration.

Unless you cancel, downgrade, or change the plan before the trial ends, the paid subscription may begin automatically when the trial expires. The amount, billing period, and effective date shown by Shopify control.

Sileasy does not guarantee that every Merchant or store will be eligible for a trial.

9. Upgrades, Downgrades, and Plan Changes

You may upgrade or downgrade through the official Shopify pricing, billing, or app-management interface when that option is available. A reinstall should not be required solely to request a supported plan change.

A plan change may:

  • Take effect immediately.
  • Take effect at the beginning of a future billing cycle.
  • Produce a prorated charge, credit, or adjustment.
  • Remain pending until the current billing period ends.

The active subscription status verified through Shopify controls which plan and entitlements are active. A plan name, URL parameter, redirect, or pending request does not by itself grant access to paid functionality.

When a Merchant moves to a more limited plan, plan-restricted features, automation, layouts, publication selections, catalog coverage, or other functionality may become inactive. Sileasy may preserve compatible configuration so that it can become active again if the Merchant later returns to an eligible plan.

A downgrade does not automatically require deletion of stored brand records, logos, destinations, product or collection settings, rankings, automation settings, or other saved configuration, subject to the Privacy Policy.

If Sileasy cannot verify an active subscription or entitlement through Shopify, new paid or commercial actions may be blocked until the subscription status can be verified.

10. Cancellation, Uninstallation, and Reinstallation

You may manage or cancel your plan through Shopify’s billing and app-management interfaces.

Uninstalling the applicable Sileasy App ends your access to that application. Active app sessions and credentials may be invalidated, and the app will block new commercial or automated actions for the uninstalled store.

Shopify controls the effective subscription cancellation status, billing-cycle treatment, and any remaining invoice consequences associated with uninstalling an app.

Uninstalling an app does not necessarily result in immediate deletion of all store configuration. After uninstall:

  • Active sessions and operational access may be terminated.
  • Billing or entitlement snapshots may be invalidated, restricted, or removed.
  • Automation and background work for the uninstalled store will be stopped or blocked.
  • Limited configuration may be retained temporarily for reinstall support, safe restoration, dispute resolution, security, legal obligations, and Shopify privacy requirements.
  • Store data is deleted, anonymized, or retained according to the Privacy Policy, applicable law, and verified Shopify privacy requests.

A reinstalled store may be required to select, approve, or confirm a plan again through Shopify before paid functionality becomes available. Previous settings may be restored only where they remain available, compatible, lawful, and permitted by the active plan.

11. Refunds and Billing Disputes

Subscription charges are processed through Shopify.

Any refund, credit, adjustment, proration, or billing dispute is subject to:

  • Applicable law.
  • Shopify’s billing systems, records, and procedures.
  • The information displayed when the Merchant approved or changed the plan.
  • Any separate written commitment made by Sileasy.

Sileasy does not guarantee refunds for unused time, partial billing periods, forgotten cancellations, plan-selection errors, or failure to use the Services.

For assistance with a Sileasy App charge, contact support@sileasy.com. You may also need to review or dispute the charge through the billing section of your Shopify Admin or through Shopify Support.

12. Merchant Content

“Merchant Content” includes brand names, display names, logos, images, links, destinations, vendor information, storefront headings, product or collection configuration, labels, settings, instructions, and other content or information submitted, selected, uploaded, or configured by the Merchant.

You retain ownership of your Merchant Content.

You grant Sileasy a limited, worldwide, non-exclusive, royalty-free license to host, process, reproduce, resize, transform, transmit, and display Merchant Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Services.

You represent and warrant that:

  • You have all rights, permissions, and lawful bases necessary to use and provide the Merchant Content.
  • Merchant Content does not infringe intellectual property, privacy, publicity, consumer protection, or other rights.
  • Merchant Content is not unlawful, deceptive, defamatory, harmful, malicious, or fraudulent.
  • Links and destinations are accurate, secure, and appropriate for your storefront.
  • Instructions and settings supplied to an App are authorized for the applicable Shopify store.

Sileasy may remove, disable, restrict, or refuse Merchant Content when we reasonably believe it violates these Terms, applicable law, Shopify policy, security requirements, or third-party rights.

13. Store Data, Permissions, and Configuration

Each Sileasy App accesses only the Shopify permissions and data made available to that application through the applicable installation, authorization, and Shopify platform interfaces.

Depending on the applicable App, Sileasy may process store identifiers, product and variant information, vendor values, inventory information, collection metadata and order, publication state, search visibility, brand settings, automation settings, subscription status, jobs, webhook records, activity records, authentication data, and technical logs.

The current Sileasy Apps are not designed to access customer orders, customer accounts, payment information, or protected customer data unless Sileasy expressly discloses new permissions and updates the applicable Privacy Policy.

You must not submit customer personal information, payment card data, health information, government identification numbers, account passwords, or other sensitive information through brand fields, URLs, labels, settings, support requests, or other configuration fields unless Sileasy expressly requests it and you are legally permitted to provide it.

14. Merchant Responsibilities

You are responsible for:

  • Your Shopify store, products, variants, inventory, vendors, collections, publications, themes, pages, and sales channels.
  • Ensuring that App settings and instructions are accurate and appropriate for your business.
  • Reviewing previews and testing storefront or Admin results before relying on them.
  • Monitoring automated collection ordering, publication, search visibility, and restoration behavior.
  • Selecting the correct brands, products, collections, publications, and settings.
  • Maintaining appropriate rights to Merchant Content and brand assets.
  • Testing links, destinations, theme app blocks, and storefront presentation.
  • Keeping your Shopify store, theme, permissions, and staff access compatible with current Shopify requirements.
  • Maintaining backups or source copies of important content and independent business records.
  • Complying with intellectual property, advertising, accessibility, privacy, consumer protection, ecommerce, and other laws applicable to your store.

Sileasy does not provide legal clearance for your use of third-party names, trademarks, logos, images, links, products, publications, or business rules.

15. Acceptable Use

You must not use the Services to:

  • Violate any law, regulation, court order, contract, or Shopify policy.
  • Infringe or misappropriate intellectual property, privacy, publicity, or other rights.
  • Upload malware, malicious scripts, deceptive redirects, or harmful content.
  • Impersonate another person, company, brand, merchant, or Sileasy representative.
  • Attempt to access another Merchant’s store, information, configuration, or activity.
  • Bypass authentication, subscriptions, catalog limits, plan limits, or feature restrictions.
  • Manipulate requests, redirects, URLs, or data to enable unavailable functionality.
  • Probe, scan, or test the security of the Services without prior written authorization.
  • Cause unreasonable load, interference, denial of service, or disruption.
  • Use the Services for illegal, fraudulent, abusive, deceptive, or harmful activity.

We may investigate suspected violations and cooperate with Shopify or lawful authorities where required.

16. Intellectual Property

The Services, including source code, interfaces, workflows, automation, visual elements, documentation, design, trademarks, and underlying technology, are owned by SILEASY LLC or its licensors.

Except for the limited license granted in these Terms, no rights are transferred to you.

“Sileasy,” “Sileasy Brands,” “Sileasy Stock Flow,” and related names, logos, and branding are marks or identifiers of SILEASY LLC. You may not use Sileasy branding in a manner that falsely suggests sponsorship, partnership, certification, endorsement, or affiliation.

17. Feedback

If you voluntarily submit ideas, suggestions, or feedback, you grant Sileasy a perpetual, worldwide, non-exclusive, royalty-free right to use that feedback to improve, operate, market, or develop products and services.

This does not give Sileasy ownership of your Shopify store data or Merchant Content.

18. Privacy and Data Processing

Our collection, use, storage, disclosure, retention, and deletion of information are described in the Sileasy Privacy Policy, which forms part of these Terms.

Depending on the Services you use, Sileasy may process information required to operate the website, authenticate a Shopify store, synchronize app data, enforce plans, perform requested actions, run automation, provide support, investigate incidents, and comply with legal or Shopify privacy obligations.

You are responsible for reviewing the Privacy Policy and ensuring that your use of the Services is consistent with your own privacy notices, contractual obligations, and applicable data-protection requirements.

19. Security

We use reasonable administrative, technical, and organizational measures designed to protect the Services and the information processed through them. However, no internet-based service, cloud service, database, or transmission method is completely secure.

You are responsible for maintaining the security of:

  • Your Shopify account and staff permissions.
  • Your email accounts and devices.
  • Your theme and application access.
  • Any credentials, links, settings, or systems under your control.

You must promptly notify us of a suspected security issue at security@sileasy.com.

You must not perform destructive testing, access another store’s data, exploit vulnerabilities, or publicly disclose a vulnerability before giving Sileasy a reasonable opportunity to investigate and respond.

20. Third-Party Services, Themes, and Platforms

The Services depend on third-party systems, which may include Shopify, hosting providers, database providers, domain providers, email providers, monitoring services, and other infrastructure vendors. Third-party services are governed by their own terms and privacy policies.

Sileasy does not guarantee compatibility with:

  • Every Shopify theme, sales channel, market, or store configuration.
  • Heavily customized, unsupported, or outdated themes.
  • Third-party scripts, applications, automations, or custom code.
  • External systems that change Shopify product, collection, publication, inventory, search, vendor, or theme state.

Sileasy Brands is intended for compatible Shopify storefront environments, including supported Online Store 2.0 themes where a theme app block is used. Merchants should test storefront components before publishing theme changes.

Sileasy Stock Flow may interact with Shopify resources that are also modified by Merchants or other applications. You are responsible for evaluating those interactions before enabling automation.

21. Service Availability and Changes

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability.

The Services may be unavailable or delayed because of:

  • Maintenance or security updates.
  • Shopify downtime, rate limits, API behavior, or platform changes.
  • Third-party provider outages.
  • Network, database, hosting, or infrastructure failures.
  • Billing, permission, authentication, or account issues.
  • Events outside our reasonable control.

We may modify, improve, replace, add, limit, or discontinue features.

When reasonably practicable, we will provide notice before a material reduction to paid functionality. We may make immediate changes without prior notice when required for security, legal compliance, Shopify compatibility, fraud prevention, abuse prevention, or service stability.

22. Support

Support is available through support@sileasy.com.

Support may include assistance with:

  • Installation and authentication.
  • Plan and billing navigation.
  • Brand synchronization and directory configuration.
  • Theme app block and storefront setup.
  • Inventory evaluation, collection sorting, publication, search visibility, and automation settings.
  • Bug reporting, incident investigation, privacy, and security escalation.

Support does not include legal advice, trademark clearance, accounting advice, custom theme development, store administration, data-entry services, or guaranteed compatibility with third-party systems unless separately agreed in writing.

Any support response times displayed on our website are targets and not guaranteed service-level commitments unless a separate written agreement states otherwise.

23. Suspension

We may suspend access to all or part of the Services when reasonably necessary to:

  • Protect the Services, Merchants, Shopify, or third parties.
  • Investigate suspected fraud, abuse, legal violations, or security incidents.
  • Respond to a legal order, regulatory requirement, or Shopify instruction.
  • Prevent unauthorized access or harmful automation.
  • Address inactive, unpaid, canceled, frozen, or unverifiable subscription status reported by Shopify.
  • Enforce these Terms or an applicable plan limit.

Where reasonably possible, we will notify you and provide an opportunity to correct the issue.

Immediate suspension may occur when delay could cause harm, security risk, legal exposure, unauthorized changes, data loss, or service disruption.

24. Termination

You may terminate these Terms for an applicable Sileasy App by uninstalling that App and ceasing use of it.

We may terminate or discontinue all or part of the Services if:

  • You materially violate these Terms.
  • You repeatedly abuse, misuse, or disrupt the Services.
  • Continued service becomes unlawful or materially unsafe.
  • Shopify requires termination or removes required platform access.
  • We discontinue the applicable product or service.

Upon termination:

  • Your license to use the affected Services ends.
  • Access to the applicable website area or embedded application may end.
  • Storefront components or automation may stop receiving data or performing actions.
  • Data will be handled according to the Privacy Policy, applicable law, Shopify privacy requirements, and applicable retention periods.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, feedback rights, disclaimers, limitation of liability, indemnification, governing law, dispute provisions, and any obligations accrued before termination.

25. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SILEASY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, COMPATIBILITY, SECURITY, AND ERROR-FREE OPERATION.

We do not warrant that:

  • The Services will always be available, timely, secure, complete, or error-free.
  • Every Shopify theme, store, sales channel, publication, or third-party application will be compatible.
  • Every vendor name will produce a correct or legally authorized brand.
  • Merchant Content is accurate, lawful, or authorized.
  • Inventory, collection ordering, publication, search visibility, or restoration results will always match Merchant expectations.
  • Every automated action will occur immediately or be reversible.
  • Search engines will index or rank storefront content.
  • Use of the Services will increase traffic, sales, conversion, profitability, or revenue.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILEASY LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if Sileasy was advised that the damage was possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILEASY’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID FOR THE AFFECTED SILEASY APP THROUGH SHOPIFY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-waivable obligations where applicable.

27. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SILEASY LLC and its owners, officers, employees, contractors, affiliates, and licensors from third-party claims, damages, liabilities, judgments, penalties, losses, and reasonable legal expenses arising from:

  • Your Merchant Content.
  • Your use of third-party names, trademarks, logos, images, links, destinations, products, or business rules.
  • Your Shopify store, products, inventory, collections, publications, themes, storefront, or sales channels.
  • Your settings, instructions, automation choices, or failure to monitor results.
  • Your violation of these Terms, applicable law, contract, or Shopify policy.
  • Your infringement or violation of third-party rights.

Sileasy will provide reasonable notice of an indemnified claim and may participate in the defense.

You may not settle a claim in a manner that admits liability by Sileasy or imposes obligations on Sileasy without our prior written consent.

28. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, United States. Each party consents to the jurisdiction of those courts.

This section does not limit mandatory rights or legal protections that cannot be waived under applicable law.

29. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a revised “Last Updated” date.

For material changes, we may also provide notice through:

  • The applicable Sileasy App.
  • Email.
  • The Sileasy website.
  • Shopify Admin communications.

Unless a shorter period is required for legal, security, platform, or service-stability reasons, material changes will normally become effective after reasonable notice.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

30. Electronic Communications

You agree to receive operational communications electronically, including communications relating to:

  • Installation and service status.
  • Billing navigation and plan changes.
  • Security and privacy.
  • Support and incidents.
  • Material changes to these Terms or the Services.

You are responsible for keeping the email address associated with your Shopify account and communications with Sileasy accurate and monitored.

31. Assignment

You may not assign or transfer these Terms without our prior written consent.

Sileasy may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the Services, provided that the assignee assumes the applicable obligations.

32. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

A failure to enforce a provision is not a waiver of the right to enforce it later.

Any waiver must be in writing and signed by an authorized representative of SILEASY LLC.

33. Force Majeure

Sileasy will not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, internet or utility failures, cyberattacks, government action, Shopify outages, hosting outages, API failures, or failures of third-party infrastructure.

34. Entire Agreement and Order of Control

These Terms, the Sileasy Privacy Policy, the applicable Shopify plan approval screen, the applicable app-specific Shopify App Store listing or in-app disclosures, and any additional written agreement expressly accepted by both parties constitute the entire agreement concerning the affected Services.

If there is a conflict:

  • Shopify’s approval screen controls the price, currency, billing interval, trial, taxes, and charge approved through Shopify.
  • App-specific disclosures control the specifically identified features, limits, or requirements of the affected Sileasy App.
  • These Terms control your general access to and use of the Services.
  • The Privacy Policy controls Sileasy’s handling of personal information.
  • A separate written agreement signed or expressly accepted by both parties controls only to the extent it states that it modifies these Terms.
